Terms of Service

Welcome to IntelliRise Solutions. By engaging our services, booking a consultation, or entering into a service agreement with us, you agree to the following Terms of Service.

These terms govern the relationship between IntelliRise Solutions ("the Company," "we," "us") and the client ("you," "Client") for all services provided, including website design, AI tools, automation systems, consulting, and monthly management plans.

1.Services Provided

IntelliRise Solutions provides fully managed AI and automation services for small businesses, including but not limited to:

  • Website design and development
  • AI chatbots and phone agents
  • Online booking and scheduling systems
  • Automated follow-up and lead capture sequences
  • Review request automation
  • SMS and email marketing setup and management
  • Social media content creation and scheduling
  • Client management systems
  • Google Business Profile setup and optimization
  • Business consulting and staff training

Specific services delivered to each client are outlined in the applicable service plan or agreement.

2.Month-to-Month Agreement

IntelliRise Solutions operates on a month-to-month basis.

  • There are no long-term contracts.
  • You may upgrade, downgrade, or cancel your plan at any time with proper notice as outlined below.
  • Monthly plans renew automatically on their billing date unless a cancellation request has been submitted.

3.Cancellation Policy

A 30-day written notice is required to cancel any service or monthly plan.

  • The Client remains responsible for all subscription fees scheduled within the 30-day notice period.
  • No prorated credits or partial refunds will be issued for the final billing period.
  • Cancellation of your monthly plan does not affect ownership of your core business data.

4.Setup Fees & Payment

A one-time setup fee is required before work begins. This fee covers the design, build, and configuration of your system, including your website, automations, chatbot, booking system, and all other deliverables included in your plan.

  • Monthly fees are billed automatically through Stripe using the payment method on file.
  • Late or failed payments may result in temporary suspension of services until the account is brought current.

5.Refund Policy

Setup fees are non-refundable. The setup fee compensates IntelliRise Solutions for the design, development, and configuration work completed on your behalf. Because this work begins immediately, refunds cannot be issued once work has started.

  • If within the first 14 days of your build you are not satisfied with the direction of the project, we will work with you to make reasonable adjustments until it meets expectations.
  • Monthly subscription fees are non-refundable for periods already billed.

6.Intellectual Property & System Ownership

The following remain the intellectual property of IntelliRise Solutions:

  • Proprietary CRM configurations
  • System snapshots
  • Automation workflows
  • Chatbot training structures
  • Funnel structures
  • Workflow logic
  • Integrations and technical architecture

These assets are provided as part of a managed service and are not transferable to another agency, consultant, or third party. IntelliRise Solutions is not required to export, transfer, or provide proprietary system configurations, workflow logic, CRM snapshots, or automation structures upon cancellation.

The Client retains ownership of:

  • Business data
  • Contact lists
  • Website content
  • Brand assets
  • Logos
  • Images
  • Social media content created specifically for the Client

upon payment of all outstanding balances.

7.Client Responsibilities & Project Delays

To deliver services effectively, Clients agree to provide:

  • Business information
  • Brand assets
  • Required account access
  • Timely approvals
  • Accurate information

If requested materials or approvals are not provided within 7 business days, project timelines may be adjusted. Projects inactive for 30 consecutive days due to client non-response may be considered abandoned and may require an additional restart fee.

8.Data Ownership Upon Cancellation

Upon cancellation, Clients may request access to their core business data, including:

  • Contact lists
  • Lead records
  • Website text and images
  • Appointment history
  • CRM communication logs
  • Email templates created specifically for the Client

Requests must be submitted within 30 days of cancellation. Data exports will be provided within 14 business days of a valid request. Proprietary automation systems, workflow logic, CRM configurations, and platform architecture remain the property of IntelliRise Solutions.

Upon cancellation of services and completion of any requested data exports, IntelliRise Solutions reserves the right to revoke access to proprietary systems, software platforms, automation tools, and managed environments used to deliver services.

9.What Stops When Your Plan Ends

Upon cancellation, the following services may cease:

  • Appointment reminders
  • Follow-up automations
  • Lead nurturing campaigns
  • Missed call text-back functionality
  • Review request automation
  • AI chatbot services
  • AI phone agent services
  • SMS marketing campaigns
  • Email marketing campaigns
  • Social media scheduling
  • Ongoing support and management

Static website content may remain accessible if hosted independently. Features powered by IntelliRise-managed systems may become inactive after cancellation.

10.Domain Ownership

Clients are responsible for purchasing and maintaining their own domain names. IntelliRise Solutions does not purchase or register domains on behalf of clients. We may assist with domain connection and configuration when appropriate access is provided.

11.Pricing Adjustments

IntelliRise Solutions reserves the right to adjust pricing or modify service inclusions with 30 days written notice. Notice will be provided via email. Clients who do not wish to continue under updated pricing may cancel in accordance with the cancellation policy.

12.Usage-Based Services & Third-Party Providers

Certain IntelliRise services may rely on third-party providers including, but not limited to:

  • GoHighLevel
  • Twilio
  • OpenAI
  • Google
  • Stripe
  • Meta
  • Other technology partners utilized to deliver services

Some services may incur usage-based costs, including but not limited to:

  • AI phone conversations
  • AI chatbot interactions
  • SMS messaging
  • Email sending
  • Voice transcription
  • Third-party API usage

Where applicable, IntelliRise reserves the right to pass through reasonable third-party usage fees to the Client. Any usage-based charges will be communicated clearly before billing whenever possible.

13.Results Disclaimer

IntelliRise Solutions does not guarantee:

  • A specific number of leads
  • A specific number of bookings
  • Revenue increases
  • Search engine rankings
  • Conversion rates
  • A specific number of reviews

Results vary based on industry, competition, market conditions, service quality, and many factors outside our direct control. We are committed to delivering high-quality systems but cannot guarantee specific business outcomes.

14.Client Content & Intellectual Property Rights

The Client represents and warrants that they have the legal right to use any content provided to IntelliRise Solutions, including but not limited to logos, images, videos, written content, trademarks, branding materials, and marketing assets. The Client is solely responsible for ensuring that all provided content complies with applicable copyright, trademark, and intellectual property laws. IntelliRise Solutions is not responsible for claims arising from content supplied by the Client.

15.Limitation of Liability

IntelliRise Solutions is not responsible for service interruptions or damages caused by third-party platform outages, hosting failures, API failures, inaccurate information provided by the Client, delayed approvals, or force majeure events. Our total liability shall not exceed the total fees paid by the Client during the 30 days preceding the claim.

Support requests may be submitted through:

Standard support is available Monday through Friday. Response times vary by service plan. We strive to respond to all support requests within 1–2 business days. Emergency support outside normal business hours is not guaranteed unless otherwise agreed upon in writing.

17.Updates to These Terms

IntelliRise Solutions may update these Terms of Service periodically. The most current version will always be available on our website. Continued use of services after updates constitutes acceptance of the revised terms. Material changes will be communicated to active clients via email.
